Agency: Apex Idea Marketing (hereinafter referred to as “Service Provider”)
Client: Any individual or entity engaging services from Apex Idea Marketing

By accessing, purchasing, or engaging with the services offered by Apex Idea Marketing, the client agrees to the following terms and conditions:

1. Scope of Services

Apex Idea Marketing provides creative services including, but not limited to: thumbnail design, podcast guest research, episode structuring, content strategy, and related digital media services. Specific deliverables, timelines, and project scope will be outlined in a written agreement or invoice.

2. Payment Terms

• All services are billed in advance, either as a monthly retainer or fixed project fee.
  
  
  

• Payments must be made in full prior to service commencement unless stated otherwise in the agreement.
  
  
  

• Accepted payment methods include Wise, PayPal, Stripe, or another mutually approved platform.
  
  
  

• Late payments exceeding 5 calendar days may incur a late fee of $25 USD.
  
  
  

• Apex Idea Marketing reserves the right to pause or terminate work for delayed payments.
  
  
  

3. Revisions

• Each deliverable includes one (1) round of revision if requested within 48 hours of delivery.
  
  
  

• Additional revisions may be billed separately at the discretion of the Service Provider.
  
  
  

• Revisions must be clearly communicated in writing.
  
  
  

4. Intellectual Property

• All final, paid-for deliverables become the intellectual property of the client.
  
  
  

• Apex Idea Marketing retains the right to display non-confidential work in portfolios, case studies, and promotional material, only with prior written client consent.
  
  
  

• Drafts, internal frameworks, and unreleased concepts remain the intellectual property of the Service Provider unless otherwise agreed.
  
  
  

5. Confidentiality

• Both parties agree to keep all business information, strategies, creative assets, and private communications strictly confidential.
  
  
  

• Confidentiality survives the termination of this agreement.
  
  
  

• No client work or information will be shared or reused outside the project scope without written permission.
  
  
  

6. Term & Termination

• The agreement operates on a month-to-month basis unless a fixed-term project is defined.
  
  
  

• Either party may terminate the agreement with a written notice of at least 7 days.
  
  
  

• In case of early termination, payments already made are non-refundable, and all incomplete work will be halted.
  
  
  

7. Communication

• Project communications will be conducted via email, Slack, or another agreed channel.
  
  
  

• Clients are responsible for providing timely feedback to avoid delays.
  
  
  

8. Limitation of Liability

• Apex Idea Marketing is not liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the deliverables or services.
  
  
  

• Maximum liability under any agreement shall not exceed the amount paid by the client for the current service period.
  
  
  

9. Dispute Resolution & Jurisdiction

• In the event of any disagreement, both parties agree to attempt informal resolution through direct discussion.
  
  
  

• If unresolved, the matter will be subject to the jurisdiction of competent courts located in India, the Service Provider’s principal place of business.
  
  
  

• This Agreement shall be governed by and interpreted in accordance with the laws of India.
  
  
  

10. Amendments

• Apex Idea Marketing reserves the right to update these Terms and Conditions at any time.
  
  
  

Continued use of services after changes are posted constitutes acceptance of the updated terms.
